Terms of Service

1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent that you have the legal capacity to enter into a binding agreement.

2. Account Registration

You must create an account to access most features. You agree to:

• Provide accurate and complete information during registration
• Keep your login credentials confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscriptions and Payment

a. Paid Plans

Paid subscriptions are billed monthly or annually in advance. All prices are in USD. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

b. One-Time Purchase

We offer a one-time video purchase option that grants you a single slideshow video export without a recurring subscription. One-time purchases are non-refundable once the video has been generated and delivered.

c. Free Trial

If we offer a free trial, it will be clearly described at sign-up. After the trial period, your subscription automatically converts to the selected paid plan unless you cancel before the trial ends.

d. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date. We do not prorate partial months.

e. Refunds

We offer a 30-day money-back guarantee for new paid subscribers. If you are not satisfied within the first 30 days of your first paid subscription, contact us at [email protected] for a full refund. After 30 days, all payments are non-refundable. One-time video purchases are non-refundable once the video has been generated.

f. Price Changes

We may change subscription prices with 30 days' notice. Price changes take effect at your next renewal. If you do not agree to the new price, you may cancel before renewal.

4. Your Content

a. Ownership

You retain full ownership of all photos, videos, audio, and other materials you upload to the Service (“Your Content”). These Terms do not transfer any ownership rights to us.

b. License to Us

By uploading Your Content, you grant Maine Winters LLC a limited, non-exclusive, worldwide, royalty-free license to store, process, and display Your Content solely to provide the Service to you — including generating slideshow videos, applying music and transitions, and publishing to your connected social accounts when you explicitly request it. This license ends when you delete the content or close your account.

c. Your Responsibility

You are solely responsible for Your Content. You represent that you own all rights to the photos and media you upload, or have obtained all necessary permissions, licenses, and consents — including from any individuals who appear in the content. You must not upload content that infringes any third party's intellectual property, privacy, or other rights.

5. Acceptable Use

You agree not to use the Service to:

• Upload content that is illegal, defamatory, obscene, or violates any applicable law
• Infringe or misappropriate any third party's intellectual property rights
• Upload content depicting minors in a sexual manner
• Harass, threaten, or harm any person
• Impersonate any person or entity
• Upload malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or another user's account
• Use automated scripts or bots to access the Service without our prior written consent
• Resell, sublicense, or commercialize access to the Service without authorization
• Circumvent, disable, or interfere with security features of the Service

We reserve the right to remove content and suspend or terminate accounts that violate this section, without notice and without refund.

6. Intellectual Property

a. Our IP

The Service, including its software, design, trademarks, and generated slideshow outputs (except your uploaded photos), is owned by Maine Winters LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.

b. Reverse Engineering Prohibition

You may not decompile, disassemble, reverse engineer, or attempt to derive the source code of any part of the Service. You may not scrape, copy, or create derivative works from the Service's outputs, interface, or underlying technology.

7. Third-Party Platform Terms

QuickPics integrates with third-party platforms to enable social publishing. By using these features, you agree to be bound by the applicable third-party terms of service in addition to these Terms:

• YouTube: By connecting your YouTube account or publishing content to YouTube through QuickPics, you agree to be bound by the YouTube Terms of Service. QuickPics uses YouTube API Services. Your use of YouTube API Services through QuickPics is also subject to the Google Privacy Policy.
• Instagram / Facebook:By connecting Meta accounts, you agree to Meta's Platform Terms and applicable policies.
• TikTok:By connecting your TikTok account, you agree to TikTok's Terms of Service.

You may revoke QuickPics' access to your YouTube account at any time via your Google Account security settings.

8. DMCA / Copyright

We respect intellectual property rights. If you believe your copyrighted work has been uploaded to the Service without authorization, please send a DMCA takedown notice to our designated agent:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material and its location; (3) your contact information; (4) a statement of good-faith belief; (5) a statement of accuracy under penalty of perjury; and (6) your electronic or physical signature.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. Beat-sync timing, music selection, and transition effects are generated automatically and may not always meet your expectations — you are responsible for reviewing the final slideshow before publishing.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAINE WINTERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Maine Winters LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third party's rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion.

You may terminate your account at any time by deleting it in account settings. Upon termination, your right to use the Service ceases immediately. Sections 4(b), 6, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Maine, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Maine, and you consent to personal jurisdiction in those courts.

Before filing any legal claim, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by email and by updating the “Last updated” date above. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription before the new Terms take effect.
